Agreement to Terms

These Terms and Conditions constitute a legally binding agreement between you and J+ Advisory. By accessing the website or using our services, you agree to be bound by these terms. If you do not agree to any part of these terms, you may not be able to access the website or use our services.

Our Services

J+ Advisory provides advertising, marketing, creative strategy, content production, live streaming management, e-commerce services, and related consulting services to clients across Asia. Our services include but are not limited to:

• Creative strategy and concept development
• Content production and management
• Digital marketing and advertising
• Social media management
• E-commerce and live streaming services
• Consulting and advisory services

Client Obligations

When using our services, clients agree to:

• Provide accurate and complete information
• Comply with all applicable laws and regulations
• Not use our services for illegal or unethical purposes
• Maintain confidentiality of proprietary information
• Pay all fees in accordance with the agreed payment terms

Payment Terms

Payment terms will be specified in individual service agreements or proposals. General payment terms include:

• Payment due within 30 days of invoice
• Late payments subject to 1.5% monthly interest
• All fees are exclusive of applicable taxes
• Retainer agreements require monthly payment

Intellectual Property

All intellectual property rights in content, designs, and materials created for you belong to J+ Advisory or its licensors. You receive a limited license to use these materials for your business purposes.

Confidentiality

Both parties agree to keep confidential any confidential information obtained during this agreement, unless written consent is obtained or the law requires disclosure.

Limitation of Liability

In no event shall J+ Advisory be liable for any indirect, incidental, special, or consequential damages. Our total liability shall not exceed the amount you have paid us in the past 12 months.

Amendments

We reserve the right to modify these terms at any time. Material changes will be communicated to you via email or website notice. Continued use of our services indicates your acceptance of the modified terms.

Termination

Either party may terminate services under the following conditions:

• For ongoing retainer agreements, 30 days written notice is required
• Immediate termination for breach of these terms
• Immediate termination if payment is overdue by more than 30 days

After termination, the client remains responsible for paying all service fees provided through the termination date.

Indemnification

Client agrees to indemnify and hold harmless J+ Advisory from any claims, damages, losses, or expenses that may arise from: (a) client materials provided to us; (b) clients breach of these terms; (c) clients violation of any law or third-party rights; or (d) clients use of deliverables in an unauthorized manner.

Governing Law and Jurisdiction

These terms are governed by the laws of Malaysia. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts in Kuala Lumpur, Malaysia.

Changes to Terms

We reserve the right to modify these terms at any time. We will notify clients of material changes by posting the updated terms on our website with a new Last Updated date. Continued use of our services after changes indicates acceptance of the modified terms.
